These Terms of Service ("Terms") govern your access to and use of Metrix, a product of DigitalSeed LLC ("we",
"us", or "our"). By using Metrix, you agree to these Terms.
1. ACCEPTANCE OF TERMS
By creating an account or using Metrix, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. DESCRIPTION OF SERVICE
Metrix is an ad management platform that enables you to:
- View and analyze Facebook and Instagram advertising data
- Create and manage advertising campaigns
- Monitor ad comments and engagement
- Track advertising performance and ROI
3. ACCOUNT REQUIREMENTS
- You must be at least 18 years old to use Metrix
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account
- You must notify us immediately of any unauthorized access
- One person may not maintain more than one account
4. FACEBOOK/META INTEGRATION
Metrix integrates with Facebook/Meta's advertising platform. By connecting your Facebook account:
- You authorize us to access your ad account data as described in our Privacy Policy
- You confirm you have authority to connect the ad accounts you select
- You agree to comply with Meta's Terms of Service and advertising policies
- You acknowledge that Meta may suspend or terminate API access at any time
5. ACCEPTABLE USE
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious code or interfere with the Service
- Attempt to access other users' accounts or data
- Use the Service to send spam or misleading content
- Reverse engineer or attempt to extract source code
- Use the Service for any illegal advertising activities
- Share your account credentials with others
6. INTELLECTUAL PROPERTY
Metrix and its original content, features, and functionality are owned by DigitalSeed LLC and protected by
intellectual property laws. You may not copy, modify, or distribute our platform without permission.
7. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:
- Uninterrupted or error-free service
- Accuracy of all data or analytics
- Compatibility with all devices or browsers
- Specific advertising results or performance
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITALSEED LLC SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages exceeding the fees paid in the prior 12 months
- Actions taken by Facebook/Meta regarding your accounts
9. TERMINATION
- You may cancel your account at any time
- We may suspend or terminate accounts for Terms violations
- Upon termination, your right to use the Service ends immediately
- Certain provisions survive termination (liability, indemnification)
10. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law
principles.
